SimpliWork — Terms of Service
Last updated: September 19, 2026
Effective: September 19, 2026
These Terms of Service ("Terms") are a contract between SimpliWork, LLC ("SimpliWork", "we", "us"), a Florida limited liability company, and the business or individual that creates a SimpliWork workspace ("you", "Customer").
By creating a workspace, clicking to accept, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorised to bind it.
1. Definitions
| Term | Meaning |
|---|---|
| Service | The SimpliWork software provided at app.simpliwork.io, its API, and any related applications we make available. |
| Workspace | Your isolated tenant within the Service, containing your data and users. |
| Authorized User | A person you permit to sign in to your Workspace — an employee, contractor or owner. Each one occupies a Seat. |
| Seat | A paid licence for one Authorized User. Seat types are described in Section 4. |
| Worker | A person whose time is recorded in your Workspace but who does not sign in. A Worker does not occupy a Seat and is not charged for. |
| Your Client | A customer of your business, about whom you store records in the Service, and who may be granted access to the Client Portal. |
| Client Portal | The limited view of your Workspace that you may make available to Your Clients, showing their own invoices, estimates and documents. |
| Customer Data | Everything you or your Authorized Users put into the Service: client records, jobs, time entries, expenses, receipts, documents, estimates, invoices, notes, signatures, and anything else you upload or enter. |
2. The Service
SimpliWork is business software for tracking time, expenses, jobs, estimates and invoices, and for billing your clients. We grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription, for your own internal business purposes, subject to these Terms.
We may change, improve or discontinue features. If we discontinue a material feature you are actively using, we will give you reasonable notice at the email address on your account.
3. Your account
- You must be at least 18 and able to enter a binding contract.
- You are responsible for the accuracy of your account information, for the security of your credentials, and for everything done under your account.
- You are responsible for your Authorized Users' compliance with these Terms.
- Tell us promptly at support@simpliwork.io if you believe your account has been accessed without permission.
We offer multi-factor authentication. We strongly recommend you enable it, and you accept the increased risk if you do not.
4. Trial, plans and Seats
Trial. A new Workspace gets a free trial of 14 days. No card is required to start, and the trial runs with the Professional feature set. At the end of the trial you must subscribe to keep writing to your Workspace.
Plans. We currently offer:
| Plan | Price per full Seat | Price per field Seat |
|---|---|---|
| Standard | $12 per month | $8 per month |
| Professional | $22 per month | $8 per month |
Prices are per Seat per month, billed monthly or annually. The prices shown in the Service at the time you buy are the ones that apply.
A full Seat has access to the features of your plan, including financial information subject to the permissions you set. A field Seat is a reduced licence intended for field staff; it does not display billing rates, costs, margins or invoices, and the Service will refuse to grant those permissions to a field Seat. The current feature comparison is shown in the Service at the time you buy.
Workers are free. A person whose hours are entered by somebody else does not need a Seat and is not charged for. You pay for people who sign in.
Seat count. You choose how many Seats to buy. An Authorized User cannot sign in without a Seat assigned to them. You may add Seats at any time; adding a Seat changes your subscription immediately and is charged on your next invoice, prorated by our payment processor. Removing a Seat takes effect at the end of the current billing period.
A Seat that has just been vacated rests for a short period before it can be assigned to someone else. This is friction against a single Seat being passed round a team, not a restriction on ordinary staff turnover.
Price changes. We may change prices with at least 30 days' notice to the email address on your account. A price change applies from your next renewal. Continuing to use the Service after the change takes effect is acceptance of the new price.
5. Fees, billing and taxes
- Subscription fees are billed in advance, monthly or annually as you select, through our payment processor Stripe. We do not receive or store your card number.
- Fees are non-refundable except where required by law or expressly stated here. Cancelling part-way through a period does not produce a refund for the remainder.
- You are responsible for any sales, use, VAT or similar taxes on your subscription, other than taxes on our income.
- If a payment fails, we may retry it and will notify you. See Section 6.
Sales tax on your own invoices is your responsibility. The Service can calculate and display sales tax on the invoices you send to Your Clients, and can produce a summary of tax charged. That summary is a convenience, not a tax return, and not tax advice. You are solely responsible for determining what tax you must collect, at what rate, in what jurisdiction, and for filing and remitting it.
6. Non-payment, read-only and closure
A failed payment does not lock you out immediately. We allow 7 days while our payment processor retries, during which the Service works normally, and we will tell you.
If your trial ends without a subscription, or a subscription lapses for non-payment beyond that period, or you cancel, your Workspace becomes read-only: you and your Authorized Users can still sign in and read everything, but cannot create or change records. A read-only Workspace keeps the plan it was actually using, so nothing you were relying on disappears while you decide.
If a Workspace stays read-only for 30 days, we close it. A closed Workspace cannot be signed in to. Your Clients retain access to their own invoices, what they have paid, and the PDFs, so that outstanding bills can still be settled and so that their own records remain available to them.
Closing does not delete your data. We retain it as described in the Privacy Policy so that you can recover your Workspace by subscribing again. We will not delete a closed Workspace's data without first emailing the address on the account and allowing at least 30 days to respond.
7. Customer Data
You own your Customer Data. We claim no ownership of it.
You grant us a limited licence to host, store, transmit, display, back up and process Customer Data solely to provide and support the Service, to keep it secure, and as you instruct through the Service.
We do not sell Customer Data. We do not use it for advertising. We do not use it to train machine-learning models.
You are responsible for the Customer Data you put in: that you have the right to provide it, that it is accurate, and that your collection and use of information about Your Clients and your own staff complies with the law that applies to you — including employment, wage-and-hour and privacy law. We are a tool; we do not verify what you enter, and nothing the Service calculates is legal, tax, accounting or payroll advice.
Backups are our operational safeguard, not your archive. You are responsible for keeping your own copies of anything you cannot afford to lose. The Service can export your time entries, invoices and expenses to CSV at any time, and you should.
8. Acceptable use
You will not, and will not permit anyone to:
- break the law with the Service, or use it to store or send unlawful content;
- upload malware, or content that infringes someone's rights;
- attempt to access another customer's Workspace or data;
- probe, scan or test the security of the Service without our prior written consent, or circumvent any access control, rate limit or Seat restriction;
- resell, sublicense, or provide the Service as a service bureau to a third party;
- reverse engineer the Service, except where that restriction is prohibited by law;
- use automated means to place unreasonable load on the Service, outside our documented API and its limits;
- share a single Seat between multiple people. A Seat is for one named individual.
We may suspend a Workspace immediately, without notice, if we reasonably believe it poses a security risk, is being used unlawfully, or threatens the integrity of the Service for other customers. We will tell you why as soon as we practically can.
9. Your Clients and the Client Portal
You decide which of Your Clients get portal access, and what is shared with them. You are responsible for what you share and with whom.
Your Clients are not our customers. Their relationship is with you. We provide the portal as part of the Service to you, and we process their information as your service provider — see the Privacy Policy.
Your relationship with Your Clients is yours alone. We are not a party to your contracts, estimates or invoices, we do not guarantee payment, and we take no part in any dispute between you and Your Clients.
10. Electronic signatures
The Service can collect an electronic signature on an estimate or agreement, and records evidence of the signing — including the signer's name, email address, IP address, the time, and their agreement to sign electronically.
Electronic signatures are generally enforceable in the United States under the ESIGN Act and state UETA equivalents. We do not warrant that any particular signature is legally binding, admissible or sufficient for your purposes. Whether a signed document is enforceable depends on your contract, your jurisdiction and your circumstances. If a document matters, have a lawyer look at how you are signing it.
11. Payments from Your Clients
If you connect a Stripe account, Your Clients can pay your invoices by card.
Money moves between Your Client and your own Stripe account. We never hold, receive or control your funds, and we take no percentage of them. Your use of Stripe is governed by your agreement with Stripe, and Stripe's fees and payout timing are between you and Stripe. Disputes, chargebacks and refunds on those payments are yours to handle.
We may record that an invoice was paid, and the amount, in order to keep your Workspace accurate.
12. Third-party integrations
The Service can connect to third-party products — for example QuickBooks Online, Encircle, Google and Microsoft. Those connections are optional and initiated by you.
When you connect one, you authorise us to exchange data with it on your behalf, and you confirm you are entitled to do so. Your use of that third-party product is governed by your agreement with its provider, not by these Terms. We are not responsible for a third party's availability, accuracy, changes to its API, or what it does with data you direct us to send it. If a third-party product changes or withdraws access, the corresponding feature may stop working, and that is not a breach of these Terms.
You may disconnect any integration at any time from the Service.
13. Availability and support
We aim to keep the Service available, but we do not offer a service level agreement or an uptime guarantee at this time. The Service may be unavailable for maintenance, upgrades, or reasons outside our control.
Support is provided by email at support@simpliwork.io and through the support form in the Service. We aim to respond within one business day, but do not guarantee a response time.
14. Intellectual property
The Service, its software, design, documentation and trademarks are ours and remain ours. These Terms grant you a right to use the Service, not any ownership of it.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you.
15. Confidentiality
Each side may learn non-public information about the other. Each side will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiver, independently developed, or lawfully received from someone else — or to a disclosure required by law, where the receiver gives prompt notice if permitted.
16. Term and termination
These Terms run while you have a Workspace.
You may cancel at any time from the billing screen in the Service, or by emailing support@simpliwork.io. Cancellation takes effect at the end of your current billing period. You will not be charged again, and you keep access until the period ends.
We may terminate for material breach that is not cured within 30 days of written notice, or immediately for a breach of Section 8 (Acceptable use), or if you fail to pay after notice.
On termination, your right to use the Service ends. For 30 days afterwards, you may request an export of your Customer Data at support@simpliwork.io and we will provide it in a machine-readable format at no charge. After that, we may delete it in accordance with the Privacy Policy.
Sections 5, 7, 14, 15, 17, 18, 19 and 21 survive termination.
17. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements, or that any calculation, total, tax figure, report or export it produces is accurate or suitable for any legal, tax, accounting, payroll or regulatory purpose. You are responsible for checking the numbers you send to your clients, your accountant and the authorities.
18. Limitation of liability
To the fullest extent permitted by law:
- Neither side is liable for indirect, incidental, special, consequential, punitive or exemplary damages, or for lost profits, revenue, goodwill, or business interruption, even if advised of the possibility.
- Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, or (b) $100.
- Data loss. We are not liable for loss or corruption of Customer Data beyond restoring from our most recent backup. Backups are our operational safeguard, not your archive — see Section 7, and keep your own copies.
Time limit on claims. Any claim arising out of or relating to these Terms or the Service must be brought within one year of the event giving rise to it. A claim brought after that is permanently barred, to the extent the law allows.
These limits do not apply to a party's liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.
19. Indemnity
You will defend, indemnify and hold us harmless from any third-party claim arising out of (a) your Customer Data, (b) your use of the Service in breach of these Terms or the law, (c) your relationship or dispute with Your Client or an Authorized User, or (d) your handling of personal information in your Workspace.
20. Changes to these Terms
We may update these Terms. For a material change, we will give at least 30 days' notice by email to the account address and in the Service. Continuing to use the Service after the change takes effect is acceptance. If you do not accept, you may cancel under Section 16 before the effective date.
We keep previous versions available at https://simpliwork.io/legal/.
21. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in or serving Clay County, Florida, and both sides consent to that jurisdiction.
There is no mandatory arbitration clause in these Terms, and no class-action waiver. If we ever add one, it will be a material change under Section 20, with 30 days' notice and your right to cancel before it takes effect.
Before filing anything, please write to legal@simpliwork.io and give us 30 days to sort it out. Most of what reaches a court between a small software company and a small contractor should not have.
22. General
- Assignment. You may not assign these Terms without our written consent, except to a successor of your business. We may assign them to an affiliate or in connection with a merger or sale of assets.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us on this subject and replace any earlier understanding.
- Severability. If a provision is unenforceable, the rest stands.
- No waiver. Not enforcing a right is not a waiver of it.
- Force majeure. Neither side is liable for a failure caused by something outside its reasonable control.
- Notices. To you: the email on your account. To us: legal@simpliwork.io.
- Relationship. Nothing here creates a partnership, agency or employment relationship.
